    Who must file

Does a foreign-owned U.S. LLC have to file Form 5472?

Yes. A U.S. LLC that is at least 25% owned by a non-U.S. person and is treated as a disregarded entity must file Form 5472 attached to a pro forma Form 1120 every year it has a reportable transaction. Forming the LLC, contributing capital, and paying for services all count as reportable transactions — so a brand-new or dormant single-member LLC almost always has to file.

The zero-income trap: Many owners assume "no revenue means no filing." That is incorrect for foreign-owned LLCs. The obligation is triggered by reportable transactions, not profit. A dormant LLC that only paid a registration fee still owes a Form 5472.

    Scope, stated plainly

What Form 5472 is — and what it is not

Form 5472 is an information return

It reports transactions between your U.S. LLC and its foreign owner or related parties. For a foreign-owned disregarded LLC it is filed together with a pro forma Form 1120 by mail or fax to the IRS — it is not an e-filed income tax return.

It is not an income tax return

Form 5472 is not Form 1040-NR (a non-resident's personal income tax return) and it does not by itself calculate tax owed. If your LLC has income effectively connected to a U.S. trade or business, a separate income return may be required — we will tell you plainly if that applies to you.

    Pricing

How much does Form 5472 filing cost?

Form 5472 preparation and filing starts at a flat $349 per return. Every service is published up front. Prices are starting points; complex situations are quoted before any work begins, and we never charge a percentage of a refund.

    FAQ

    Form 5472 questions, answered

What is the penalty for not filing Form 5472?
The penalty for failing to file Form 5472, or filing it late or incomplete, is a minimum of $25,000 per return, with additional amounts if the failure continues after the IRS sends notice. This is why even dormant foreign-owned LLCs should file on time.
Does a foreign-owned LLC with no income still need to file?
Usually yes. The filing requirement is triggered by reportable transactions — including forming the LLC and contributing capital — not by profit. A dormant single-member LLC generally must file Form 5472 with a pro forma Form 1120.
When does my LLC need to file Form 5472 each year?
For a calendar-year LLC, Form 5472 with the pro forma 1120 is due April 15. A six-month extension to October 15 is available if requested by the original deadline. Confirm your exact date with us, as it depends on your entity and year-end.
How is Form 5472 submitted to the IRS?
For a foreign-owned disregarded LLC, the Form 5472 with pro forma 1120 is submitted to the IRS by mail or fax, not through standard e-file. We handle the correct submission method and confirm it was received.
Do I need an EIN to file Form 5472?
Yes. Your LLC needs an Employer Identification Number to file. If you do not have one, we can obtain the EIN for a non-resident owner without a Social Security Number as a first step.
What does Form 5472 filing cost?
Form 5472 with the pro forma 1120 starts at a flat $349 per return. Founding clients who sign their engagement letter by September 30, 2026 pay $299, held for as long as the engagement continues rather than reverting at renewal; from October 1, 2026 the standard $349 applies. Add-ons are itemised separately, and anything complex is quoted before any work begins.
